Notice of General Meeting of S.H. Transnatur – Transitários Internacionais, S.A.

Dear Sirs,

We hereby convene the Shareholders of the public limited company S.H. Transnatur – Transitários Internacionais, S.A., tax identification number 502 645 806, with registered office at Rua Vilar do Senhor, no. 235, parish of Lavra, municipality of Matosinhos, with a fully subscribed and paid-up share capital of EUR 741,015.00, to the Ordinary General Meeting of the company to be held on June 17, 2026, at 09:00 (Portugal time) / 10:00 CEST, by telematic means, pursuant to paragraph 6 of article 377 of the Portuguese Companies Code, through the Teams platform, with the following agenda:

Item One – Review and approval of the management report and financial statements, including the balance sheet, income statement, and other accountability documents relating to the financial year ended December 31, 2025;

Item Two – Resolution on the proposal for allocation of results;

Item Three – General assessment of the company’s management and supervision;

Item Four – Election of the Chairman of the Board of Directors;

Item Five – Other matters.

The supporting documents for this meeting may be consulted by the Shareholders upon prior request or during the meeting.

In accordance with paragraph 3 of article 7 of the articles of association, in order for the meeting to deliberate on any matter at first call, shareholders holding or representing at least 50% of the share capital must be present or duly represented.

Shareholders who are unable to attend may be represented at the General Meeting by another shareholder or by any other person, provided that a letter addressed to the Chairman of the General Meeting is submitted, indicating the name of the representative, pursuant to paragraph 2 of article 380 of the Portuguese Companies Code. In accordance with paragraph 7 of article 7 of the articles of association, corporate shareholders must notify, by letter addressed to the Chairman of the General Meeting and received before the beginning of the meeting, the name of their representative.
